If the indemnifying party does not elect to assume the defense of any such suit, or in case the Indemnified Party does not, in the exercise of reasonable judgment, approve of counsel chosen by the indemnifying party, or in case there is a conflict of interest between the indemnifying party and the Indemnified Party, the indemnifying party will reimburse the Indemnified Party or Parties named as defendant or defendants in such suit, for the reasonable fees and expenses of any counsel retained by them.
In the event of a delay or failure in performance lasting for four (4) weeks or more, the non-affected Party or Parties shall have the right to terminate this Agreement immediately by notice in writing to the other Parties.
The Sponsor acknowledges that the decision on whether any exemption applies to a request for disclosure of recorded information under the FOIA or EIR is a decision solely for the Trial Site and / or the Principal Investigator, in line with which Party or Parties received the request.
